1. Introduction

These Terms of Service ("Terms") are a legal agreement between you ("you", "your") and BOCY AI LIMITED ("BOCY", "we", "us", "our"), a company registered in England and Wales (company number 16760137), with its registered office at Apartment 15 Adlay Apartments, 3 Millet Place, London, England, E16 2YE.

These Terms govern your access to and use of the BOCY application, website at bocy.io, and all related services (collectively, the "Service"). By accessing or using the Service, you agree to be bound by these Terms. If you do not agree to these Terms, do not use the Service.

2. Eligibility

To use the Service, you must:

• Be at least 18 years of age
• Be a resident of the United Kingdom
• Have the legal capacity to enter into a binding agreement
• Not have been previously suspended or removed from the Service

3. Account registration

To access certain features of the Service, you must create an account by providing accurate and complete information. You are responsible for:

• Maintaining the confidentiality of your account credentials
• All activity that occurs under your account
• Notifying us immediately of any unauthorised access to or use of your account

We reserve the right to suspend or terminate your account if any information provided is inaccurate, incomplete, or fraudulent.

4. Description of the Service

BOCY is an AI-powered financial insights tool that:

• Connects to your bank accounts via Open Banking (read-only access) to analyse your financial data
• Provides insights about your income, spending, bills, debts, and savings
• Compares savings rates across UK providers using verified market data
• Surfaces data-backed insights to help you make informed decisions about where to place your money
• Executes actions only with your explicit approval

5. BOCY does not provide financial advice

This is important — please read carefully.

BOCY provides financial insights and information only. BOCY does not provide, and nothing in the Service should be construed as, financial advice, investment advice, tax advice, or any other form of professional advice. Specifically:

• The insights, analysis, and information provided by BOCY are for informational purposes only
• BOCY does not make decisions for you — we show you data and trade-offs so you can make your own informed decisions
• BOCY is not regulated by the Financial Conduct Authority (FCA) as a financial adviser
• You should seek independent financial advice from a qualified professional before making significant financial decisions
• Past performance of savings rates or investment returns is not indicative of future results

You acknowledge and agree that any actions you take based on information provided by the Service are taken at your own risk and discretion.

6. Open Banking and data access

When you connect your bank accounts through Open Banking:

• We access your account data in read-only mode through FCA-regulated Account Information Service Providers (AISPs)
• We cannot make payments, transfers, or any changes to your accounts without your explicit authorisation through a separate, secure process
• You can disconnect your bank accounts at any time through the app settings
• Data collected through Open Banking is handled in accordance with our Privacy Policy

7. Your obligations

When using the Service, you agree not to:

• Use the Service for any unlawful purpose or in violation of any applicable laws
• Provide false, misleading, or fraudulent information
• Attempt to gain unauthorised access to the Service, other user accounts, or our systems
• Interfere with or disrupt the integrity or performance of the Service
• Reverse-engineer, decompile, or disassemble any part of the Service
• Use the Service to transmit malware, viruses, or other harmful code
• Scrape, crawl, or use automated means to access the Service without our written permission
• Use the Service on behalf of a third party without our consent

8. Intellectual property

The Service, including all content, features, functionality, software, text, graphics, logos, and design (collectively, "BOCY Content"), is owned by BOCY AI LIMITED and is protected by copyright, trademark, and other intellectual property laws.

We grant you a limited, non-exclusive, non-transferable, revocable licence to access and use the Service for your personal, non-commercial use, subject to these Terms.

You may not:

• Copy, modify, or distribute any BOCY Content
• Use BOCY's name, logos, or trademarks without our prior written consent
• Create derivative works based on the Service

9. Third-party services and links

The Service may contain links to or integrations with third-party websites and services, including banks, savings providers, and Open Banking providers. We do not control and are not responsible for the content, privacy practices, or terms of any third-party services.

Your use of third-party services is subject to their own terms and conditions. We encourage you to review those terms before engaging with them.

10. Availability and changes to the Service

We strive to keep the Service available at all times but do not guarantee uninterrupted access. The Service may be temporarily unavailable due to:

• Scheduled maintenance or updates
• Unplanned technical issues or outages
• Circumstances beyond our reasonable control

We reserve the right to modify, suspend, or discontinue any part of the Service at any time, with or without notice. We will make reasonable efforts to notify you of significant changes.

11. Disclaimer of warranties

The Service is provided on an "as is" and "as available" basis, without warranties of any kind, whether express or implied, including but not limited to:

• Implied warranties of merchantability, fitness for a particular purpose, and non-infringement
• Warranties that the Service will be uninterrupted, error-free, or secure
• Warranties regarding the accuracy, reliability, or completeness of any information, including savings rates, provider details, or financial data

While we make every effort to verify the accuracy of savings rate data and provider information, rates change frequently and we cannot guarantee that all information is current at any given time. Always verify rates directly with the provider before making financial decisions.

12. Limitation of liability

To the maximum extent permitted by applicable law:

• BOCY AI LIMITED, its directors, officers, employees, and agents (the "BOCY Parties") shall not be liable for any indirect, incidental, special, consequential, or punitive damages arising from or related to your use of the Service
• This includes, but is not limited to, loss of profits, revenue, data, business opportunities, or savings, whether or not we have been advised of the possibility of such damages
• The total aggregate liability of the BOCY Parties for all claims arising from or related to the Service shall not exceed the greater of (a) the amount you have paid to BOCY in the 12 months preceding the claim, or (b) £100

Nothing in these Terms excludes or limits our liability for: (a) death or personal injury caused by our negligence; (b) fraud or fraudulent misrepresentation; or (c) any other liability that cannot be excluded or limited by English law.

13. Indemnification

You agree to indemnify and hold harmless the BOCY Parties from any claims, damages, losses, liabilities, and expenses (including legal fees) arising from:

• Your use of or access to the Service
• Your violation of these Terms
• Your violation of any applicable law or regulation
• Your violation of any third-party rights
• Any financial decisions you make based on information provided by the Service

14. Termination

You may stop using the Service and delete your account at any time through the app settings or by contacting us at hello@bocy.io.

We may suspend or terminate your access to the Service at any time, with or without cause, including if we reasonably believe:

• You have violated these Terms
• Your account has been used for fraudulent or illegal activity
• Continued provision of the Service to you is no longer commercially viable

Upon termination, your right to use the Service ceases immediately. Sections 5, 8, 11, 12, 13, 15, and 16 shall survive termination.

15. Governing law and disputes

These Terms are governed by and construed in accordance with the laws of England and Wales.

Any disputes arising from or relating to these Terms or the Service shall be subject to the exclusive jurisdiction of the courts of England and Wales.

If you have a complaint about the Service, please contact us first at hello@bocy.io. We will make reasonable efforts to resolve any disputes informally before either party initiates legal proceedings.

16. General provisions

16.1 Entire agreement

These Terms, together with our Privacy Policy, constitute the entire agreement between you and BOCY regarding the Service and supersede any prior agreements.

16.2 Severability

If any provision of these Terms is found to be unenforceable, the remaining provisions shall continue in full force and effect.

16.3 Waiver

Our failure to enforce any right or provision of these Terms shall not constitute a waiver of that right or provision.

16.4 Assignment

You may not assign or transfer your rights under these Terms without our prior written consent. We may assign our rights and obligations under these Terms without restriction.

16.5 Changes to these Terms

We reserve the right to modify these Terms at any time. We will notify you of material changes by posting the updated Terms on our website with a new "Last updated" date, and by sending you an in-app notification or email for significant changes. Your continued use of the Service after any changes constitutes acceptance of the updated Terms.
